Terms of Service

Effective Date: January 28, 2026

01. Engagement Model

PX Staff provides staff augmentation and managed project services. Our developers work as an extension of your team but remain employees of PX Staff Limited. We handle all payroll, benefits, and HR responsibilities.

Engagements can be structured as Time & Materials (T&M) or Fixed Price, depending on the project scope and duration agreed upon in the Statement of Work (SOW).

02. IP Rights & Ownership

Upon full payment of invoices, all intellectual property rights in the deliverables created by our staff for your project are automatically assigned to you. This includes source code, designs, and documentation.

PX Staff retains the rights to its pre-existing tools, libraries, and methodologies used during the project, granting you a non-exclusive license to use them as part of the deliverables.

03. Service Level Agreement (SLA)

We guarantee code quality and availability. Any critical bugs found within 30 days of delivery are fixed at no additional cost. We commit to defined response times for support requests as outlined in your specific agreement.

Our staff maintains a 95% availability rate during standard business hours, excluding scheduled holidays and pre-approved leave.

04. Termination

Either party may terminate the agreement with 30 days' written notice. For fixed-price projects, termination terms are governed by the specific project contract. Immediate termination is possible in cases of material breach of contract.

05. Limitation of Liability

In no event shall PX Staff be liable for any indirect, incidental, or consequential damages. Our total liability is limited to the amount paid for the services in the six months preceding the claim.
